Terms and conditions for using Speakeazy

Welcome to Speakeazy. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Nonlinear Media, LLC, a Delaware limited liability company doing business as Speakeazy(“Speakeazy,” “we,” “us,” or “our”), governing your access to and use of our website, platform, and services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the “Effective Date.” Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms.
2. Eligibility
The Service is intended for professional voice actors, narrators, audiobook producers, and similar professionals. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Description of Service
Speakeazy.pro is an AI-powered script preparation platform designed for audiobook narrators and voice-over professionals. Our Service includes:
- AI-powered script analysis, including automatic character identification, dialogue attribution, and chapter detection
- Character management tools with automatic profile generation
- Visual dialogue highlighting and color-coded scripts
- Voice recording tools for character voice samples
- Chapter navigation and project organization features
- Secure cloud storage for projects and recordings
- Deep character analysis (Pro feature)
4. Account Registration
To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
5. Subscription and Payment
5.1 Subscription Plans
Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time at our discretion.
5.2 Payment Processing
All payments are processed through our third-party payment processor, LemonSqueezy. By providing payment information, you authorize us to charge the applicable fees to your designated payment method. You agree to pay all fees and charges incurred in connection with your subscription at the prices in effect when such charges are incurred.
5.3 Automatic Renewal
Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for successive periods of the same duration at the then-current subscription rate. You may cancel your subscription at any time through your account settings.
5.4 Analysis Charges
Running an analysis on a manuscript is charged separately from any subscription. Each analysis is a one-time charge, priced from the length and content of the manuscript being analyzed, and the price is shown to you for confirmation before you pay. A Pro subscription may reduce the price of an analysis but does not include analyses.
5.5 Cancelling an Analysis
You may cancel an analysis at any time while it is running. Because an analysis consumes computing resources and third-party AI processing from the moment it starts, whether or not you receive the result, what happens to your payment depends on how much work has already been done when you cancel.
If you cancel early — while the analysis is still under 25% complete and has been running for less than 5 minutes — your payment is returned to your account as a credit for that analysis. The credit is applied immediately, and you can start the analysis again whenever you are ready. It is not a charge to your payment method that is later reversed, so no refund appears on your card or bank statement.
If you cancel later — once either of those thresholds has been passed — the payment for that analysis is not returned, because the processing it paid for has already been performed and its cost already incurred. The analysis stops, and you are not charged again.
Each payment can generate a credit once. If you cancel an analysis you started using a credit, that payment is not returned a second time.
You are told which of these applies at the moment you cancel. Analyses that were not charged for do not generate a credit.
5.6 Refunds
The analysis credit described in Section 5.5 is applied automatically and does not require a request. Outside of that, refund requests are handled on a case-by-case basis. Please contact us if you believe you are entitled to a refund. Except where a refund is required by applicable law, we reserve the right to grant or deny refunds at our sole discretion.
6. User Content and Intellectual Property
6.1 Your Content
You retain all ownership rights to the content you upload to the Service, including manuscripts, scripts, voice recordings, character notes, and other materials (“User Content”). By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service.
6.2 Content Responsibility
You are solely responsible for your User Content and represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and use such content with our Service. You agree not to upload any content that infringes on the intellectual property rights of any third party.
6.3 AI Processing
To provide our AI-powered features, your uploaded manuscript text is sent to our AI processing partners for analysis. This processing is performed solely to deliver the Service's features (character identification, dialogue attribution, etc.). Your content is not stored or retained by our AI partners after processing is complete, and is not used to train AI models.
We use Anthropic's Claude AI through their commercial API, which is governed by Anthropic's Commercial Terms. These terms explicitly state that “Anthropic may not train models on Customer Content from Services.” This means your manuscripts, scripts, and creative works are contractually protected from ever being used to train AI models. Additionally, all customer content is treated as confidential information under these terms.

6.4 Our Intellectual Property
The Service, including its original content, features, functionality, software, and branding (excluding User Content), is and will remain the exclusive property of Nonlinear Media, LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.
6.5 Copyright Complaints and Repeat Infringers
We respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act. If you believe material on the Service infringes a copyright you own or are authorized to act for, you may send a notice to our designated agent. The agent's contact details, the information a notice must contain, and the counter-notice process are set out on our Copyright & DMCA page.
It is our policy, in appropriate circumstances, to disable and terminate the accounts of users who repeatedly infringe the copyrights of others, or who are repeatedly charged with doing so. A user whose account is terminated under that policy may not create a new account.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
- Upload content that is unlawful, defamatory, obscene, or otherwise objectionable
- Upload content that infringes on the intellectual property rights of others
- Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use any automated means (bots, scrapers, etc.) to access the Service without our express written permission
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Share your account credentials with others or allow multiple users to access the Service through a single account
8. Third-Party Services
The Service relies on third-party providers for hosting, storage, AI analysis, payments, email and error monitoring. Our Subprocessors page lists the providers we currently use, together with what each receives and where it is located, and is updated when that changes. Your use of the Service is also subject to the terms and policies of those providers. We are not responsible for the actions, content, or policies of any third-party service.
Note on AI Providers: We specifically select AI providers that offer strong data protection guarantees. Our primary AI provider, Anthropic, contractually guarantees under their Commercial Terms that customer content will not be used to train AI models.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the accuracy of AI-powered features, including character identification and dialogue attribution. AI analysis results are provided as a tool to assist your workflow and should be reviewed for accuracy.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NONLINEAR MEDIA, LLC, ITS AFFILIATES, MEMBERS, MANAGERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless Nonlinear Media, LLC, its affiliates, and their respective members, managers, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.
12. Termination
You may terminate your account at any time by deleting your account through your account settings at Speakeazy.pro. Upon termination, your right to use the Service will immediately cease, and your User Content will be deleted.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to, violation of these Terms, repeated copyright infringement as described in Section 6.5, fraudulent or illegal activity, or non-payment of fees.
Upon termination, Sections 6 (User Content and Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law and Dispute Resolution) shall survive.
13. Modifications to Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.
15. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nonlinear Media, LLC regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
